These Terms of Service ("Terms") govern your access to and use of the workassist.ai website and any related pages, products, features, content, demos, trials, and services we provide (collectively, the "Services").

Acceptance of these Terms
By accessing or using the Services, you agree to these Terms. If you are using the Services on behalf of an organization, you represent and warrant that you have authority to bind that organization, and "you" refers to that organization.
If you do not agree to these Terms, do not use the Services.
Who We Are
The Services are offered by Flow Harmonics Labs Private Ltd. ("workassist.ai," "we," "us," or "our").
Eligibility
You must be at least 18 years old (or the age of legal majority where you live) to use the Services. If you are using the Services for a business, you confirm you are authorized to do so.
Accounts and Access
Some parts of the Services may require an account, credentials, or access provisioned by your organization. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.
- You must provide accurate information and keep it up to date.
- You must promptly notify us if you suspect unauthorized access or use.
- We may impose reasonable access controls and usage limits to protect the Services.
Acceptable Use
You agree not to, and not to attempt to:
- Use the Services for any unlawful, harmful, fraudulent, or abusive purpose.
- Interfere with or disrupt the Services, or bypass rate limits or access controls.
- Probe, scan, or test the vulnerability of any system or network (except as expressly authorized in writing).
- Upload or transmit malware, exploits, or other harmful code.
- Access or use the Services in a way that infringes intellectual property or privacy rights.
- Reverse engineer, decompile, or attempt to extract source code, models, or underlying components (to the extent permitted by law).
- Use the Services to build or train a competing product where prohibited by applicable law and contract.
If you use the Services within an organization, you must also comply with your organization's policies and applicable employment laws.
AI Features and Outputs
The Services may include AI-driven analytics, insights, recommendations, automations, agents, or generated content ("Outputs"). Outputs are provided for informational and productivity purposes and may be inaccurate, incomplete, or not suited to your specific situation.
- No professional advice. Outputs are not legal, medical, financial, or HR advice. You should use human judgment and, where appropriate, professional review.
- Human responsibility. You are responsible for decisions, actions, and outcomes based on your use of Outputs.
- Prohibited reliance. Do not use Outputs in a way that could result in harm if incorrect without appropriate verification and controls.
Third-Party Integrations
The Services may connect with third-party products, services, or data sources (for example, collaboration tools, CRMs, ticketing systems, and other enterprise applications). Your use of those third-party services is governed by their own terms and policies, and we are not responsible for third-party services.
If you enable integrations, you authorize us to access and process data from those systems as needed to provide the Services. You are responsible for ensuring you have rights and permissions to connect and use those systems and data.
Customer Data and Privacy
Our Privacy Policy explains how we collect and handle Personally Identifiable Information (PII) via our website. If your organization engages with us for enterprise use, additional data processing terms (such as a DPA) may apply.
"Customer Data" means data (including content, files, messages, and metadata) submitted to, stored in, or processed by the Services by you or on your behalf (including through integrations).
- You retain ownership of your Customer Data.
- You grant us a limited license to host, process, transmit, and display Customer Data solely to provide, secure, and improve the Services.
- You represent you have all necessary rights to provide Customer Data and permit our processing of it.
Security
We implement administrative, technical, and physical safeguards designed to protect the Services and Customer Data. However, no method of transmission or storage is 100% secure, and we cannot guarantee absolute security.
You are responsible for maintaining appropriate security on your side, including device security, strong passwords, and access management.
Intellectual Property
We (and our licensors) own all rights, title, and interest in and to the Services, including software, designs, trademarks, and underlying technology, except for Customer Data. These Terms do not grant you any ownership rights in the Services.
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes.
Feedback
If you provide feedback, ideas, or suggestions about the Services ("Feedback"), you grant us a worldwide, perpetual, irrevocable, royalty-free license to use and incorporate Feedback without restriction or compensation.
Beta / Pre-Release Features
We may offer beta, preview, pilot, or experimental features. These are provided "as is," may change or be discontinued, and may have reduced reliability or support. Use of beta features is at your own risk.
Fees, Trials, and Taxes
Certain Services may be offered for a fee, including via enterprise agreements, pilots, or subscriptions. If you purchase paid Services, pricing, invoicing, renewal, and any trial terms will be described at the time of purchase or in a separate written agreement.
Unless otherwise stated in a written agreement, fees are non-refundable and exclusive of applicable taxes, which you are responsible for.
Suspension and Termination
We may suspend or terminate your access to the Services (in whole or in part) if we reasonably believe you violated these Terms, if your use poses a security risk, or if required by law.
You may stop using the Services at any time. Termination does not relieve you of obligations incurred prior to termination.
Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.
We do not warrant that the Services will be uninterrupted, error-free, or that Outputs will be accurate or complete.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED (A) THE AMOUNTS PAID BY YOU TO US FOR THE SERVICES IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD $100, IF YOU HAVE NOT PAID US FOR THE SERVICES, WHICHEVER IS GREATER.
Indemnification
You agree to defend, indemnify, and hold harmless workassist.ai and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Services, (b) your Customer Data, (c) your violation of these Terms, or (d) your violation of any law or third-party rights.
Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Michigan, USA, without regard to conflict of laws principles.
Any dispute arising out of or relating to these Terms or the Services will be brought in the courts located in Ann Arbor, Michigan, USA, and you consent to personal jurisdiction and venue there, unless a separate written agreement between you and us provides otherwise.
If you are an enterprise customer and have a separate master services agreement (MSA), order form, or DPA with us, that agreement may control in the event of conflict for the paid/enterprise Services.
Changes to the Services or Terms
We may update the Services and these Terms from time to time. If we make material changes, we will post the updated Terms on this page and update the "Last Updated" date above. Your continued use of the Services after changes become effective means you accept the updated Terms.
